Confidentiality

This website (the “Site”) is operated exclusively by and for a private single family office (the “Family Office”). Access to, and use of, this Site is strictly subject to the confidentiality obligations and restrictions set out herein (this “Confidentiality Notice”). By accessing, browsing, or otherwise interacting with the Site, you (“you” or “User”) acknowledge and agree to be bound by this Confidentiality Notice.

1. Private, Restricted, and Non-Public Nature of the Site

1.1 Non-Public Platform.
The Site constitutes a private, non-public communication and information platform maintained solely for the internal, investment-related, administrative, and operational purposes of the Family Office. No portion of the Site is intended to be made available to the general public, and no content hosted on or accessible through the Site shall be construed as public information, general solicitation, marketing material, or an offer of any product or service.

1.2 Limited Permitted Access.
Access is provided on a strictly limited basis to individuals expressly authorized by the Family Office. Any unauthorized access, attempted access, transmission, dissemination, or use of information from or through the Site is strictly prohibited and may constitute a breach of confidentiality, a breach of fiduciary duties, a violation of applicable privacy and cybersecurity laws, and may give rise to civil and criminal liability.

2. Confidential Information

2.1 Definition.
For purposes of this Confidentiality Notice, “Confidential Information” means all information, data, documents, materials, communications, or content of any kind displayed on, transmitted by, or otherwise made available through the Site, including, without limitation:

  • identity information relating to the Family Office, its principals, beneficiaries, affiliated entities, directors, employees, advisors, or counterparties;
  • financial, investment, operational, strategic, or transactional information;
  • proprietary analyses, research, models, due diligence materials, reports, or correspondence;
  • legal, regulatory, tax, or compliance materials;
  • any other information that a reasonable person would understand to be confidential based on its nature or the context of its disclosure.

2.2 Presumption of Confidentiality.
All information on or connected to the Site is conclusively deemed Confidential Information, irrespective of whether it is specifically marked “confidential.”

3. Obligations of Users

3.1 Non-Disclosure.
You shall maintain all Confidential Information in strict confidence and shall not, without the prior express written consent of the Family Office, directly or indirectly:

(a) disclose, publish, disseminate, or otherwise make available any Confidential Information to any third party;
(b) use or permit the use of any Confidential Information for any purpose other than your expressly authorized interactions with the Family Office; or
(c) extract, copy, download, reproduce, photograph, store, transmit, or reverse engineer any Confidential Information in any form.

3.2 Standard of Care.
You shall protect the Confidential Information using no less than the highest degree of care that you use to protect your own confidential information of a similar nature, and in any event no less than a commercially reasonable standard of care expected of professionals operating in fiduciary, financial, or advisory environments.

3.3 Notification of Breach.
You shall immediately notify the Family Office in writing of any actual, suspected, or threatened breach of this Confidentiality Notice or any unauthorized access, disclosure, or use of Confidential Information. You shall cooperate fully with the Family Office in investigating and remediating any such incident.

4. Prohibited Conduct

Without limiting the foregoing, you are expressly prohibited from:

(a) attempting to circumvent any security, authentication, or access-control mechanism of the Site;
(b) accessing the Site through automated means, bots, scrapers, crawlers, or similar tools;
(c) introducing any malicious code, virus, or harmful component into the Site;
(d) linking to or referencing the Site from any external platform without prior written consent; or
(e) attempting to determine, infer, or disclose the identity, activities, investments, personnel, or structure of the Family Office.

5. Reservation of Rights and Remedies

5.1 Injunctive Relief.
Because the unauthorized disclosure or misuse of Confidential Information may cause irreparable harm for which monetary damages may be inadequate, the Family Office shall be entitled, without the requirement of posting a bond or proving actual damages, to seek immediate injunctive and equitable relief in any court of competent jurisdiction.

5.2 Legal and Equitable Remedies.
The Family Office reserves all rights and remedies available under applicable law, including compensatory damages, disgorgement, indemnification, reimbursement of legal fees, and referral to regulatory or law-enforcement authorities where appropriate.

6. No Waiver; No Reliance; No Offer of Services

6.1 No Waiver.
Failure by the Family Office to enforce any provision of this Confidentiality Notice shall not constitute a waiver of that provision or any other provision.

6.2 No Reliance.
The Site and its content are provided solely for informational purposes. No User may rely on the Site or any Confidential Information for any investment, transactional, legal, or strategic purpose unless expressly instructed in writing by the Family Office.

6.3 No Offer or Solicitation.
Nothing on the Site shall be interpreted as an offer to sell, a solicitation to buy, or a marketing communication for any security, product, service, or investment.

7. Data Protection and Privacy

7.1 Handling of Personal Data.
To the extent any personal data is processed in connection with your access to the Site, such processing shall occur in accordance with the Family Office’s internal privacy and data-protection policies, as well as applicable laws. You acknowledge that any unauthorized disclosure of Confidential Information that includes personal data may constitute a violation of data-protection laws.

7.2 User Responsibility.
You are responsible for ensuring that any device, network, or credentials you use to access the Site comply with appropriate cybersecurity standards and do not compromise the confidentiality, integrity, or availability of the Site.

8. Term and Survival

All obligations under this Confidentiality Notice apply during your period of access to the Site and shall survive indefinitely thereafter, notwithstanding any termination, revocation, or withdrawal of such access.

9. Governing Law and Jurisdiction

This Confidentiality Notice, and any dispute arising from or relating to it, shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict-of-laws rules. The courts of the United States of America shall have exclusive jurisdiction; however, the Family Office may seek injunctive relief or protective orders in any jurisdiction where a breach or threatened breach may occur.

10. Amendments

The Family Office reserves the right to amend or update this Confidentiality Notice at any time without prior notice. Continued access to or use of the Site following any modification constitutes acceptance of the revised terms.
